1. Introduction and Acceptance
Welcome to UPNEXT ("we," "our," "us," or "UPNEXT"). These Terms of Service ("Terms") govern your access to and use of the UPNEXT platform, website, and services (collectively, the "Service") located at upnext.community.
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. We reserve the right to refuse service to anyone at any time for any reason.
You must be at least 13 years of age (or 16 in the European Economic Area) to use our Service. If you are under the age of 18, you represent that you have your parent's or guardian's permission to use the Service and that they have agreed to these Terms on your behalf.
These Terms constitute a legally binding agreement between you and UPNEXT. Please read them carefully before using our Service.

For the purposes of these Terms:

- "You" or "Your": Refers to the individual accessing or using the Service
3. Description of Service
UPNEXT is a community-driven platform designed to help ambitious creators and professionals build accountability, visibility, and real influence on LinkedIn. Our Service includes:
- A free community membership platform for LinkedIn growth and personal branding
- Cohort-based programs that match creators at similar stages
- Networking opportunities and community connections
- Knowledge-sharing resources and strategies for LinkedIn growth
- Accountability structures and community support
We do not guarantee specific outcomes, such as increased LinkedIn followers, engagement rates, or business results. The Service is provided for informational and community-building purposes only. Your success depends on many factors beyond our control, including your own efforts, market conditions, and LinkedIn's algorithm changes.
4. Account Registration and Eligibility
4.1 Age Requirements
You must be at least 13 years of age (or 16 in the European Economic Area) to use our Service. If you are under 18, you must have parental or guardian consent.
4.2 Account Information
When registering for our waitlist or creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your information to keep it accurate
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
4.3 One Account Per Person
You may maintain only one account on the Service. Creating multiple accounts or using another person's account is prohibited.
4.4 Identity Verification
We reserve the right to verify your identity at any time. We may request additional information or documentation to confirm your identity or eligibility to use the Service.
5. Acceptable Use Policy
5.1 Permitted Uses
You may use our Service for the following purposes:
- Networking with other community members in a respectful and professional manner
- Sharing LinkedIn growth tips, experiences, and insights
- Participating in community discussions and cohort activities
- Accessing educational resources and content provided by UPNEXT
- Building accountability partnerships with other members
5.2 Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Harassment and Bullying: Harassing, bullying, threatening, or intimidating other users
- Hate Speech: Posting content that promotes hatred, violence, or discrimination based on race, ethnicity, religion, gender, sexual orientation, or other protected characteristics
- Spam: Sending unsolicited commercial messages, spam, or repetitive communications
- Impersonation: Impersonating another person, entity, or organization, or misrepresenting your identity or affiliation
- Illegal Content: Sharing content that is illegal, harmful, or violates any applicable laws or regulations
- Malware: Uploading or distributing viruses, malware, or other harmful code
- Data Scraping: Using automated tools, bots, or scripts to scrape, collect, or harvest data from the Service without our express written permission
- LinkedIn Violations: Engaging in activities that violate LinkedIn's Terms of Service or Community Guidelines
- Intellectual Property Infringement: Violating the intellectual property rights of others, including copyrights, trademarks, or patents
- Reverse Engineering: Attempting to reverse engineer, decompile, or disassemble any part of the Service
- Service Disruption: Interfering with or disrupting the Service, servers, or networks connected to the Service
- Unauthorized Access: Attempting to gain unauthorized access to any part of the Service, other accounts, or computer systems
5.3 Consequences of Violations
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, without notice or refund, and may subject you to legal action.
6. User-Generated Content
6.1 Ownership of Content
You retain ownership of any content you create, post, or share on the Service ("User Content"). However, by posting User Content, you grant UPNEXT a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content on the Service and in connection with our marketing and promotional activities.
6.2 Responsibility for Content
You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to post the User Content
- Your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights
- Your User Content complies with these Terms and all applicable laws
- Your User Content is accurate and not misleading
6.3 Content Moderation
We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at any time, for any reason, without notice. We may remove content that violates these Terms, is illegal, or is otherwise objectionable in our sole discretion.
6.4 No Endorsement
UPNEXT does not endorse, support, or guarantee the accuracy, completeness, or reliability of any User Content. You acknowledge that you may be exposed to User Content that is inaccurate, offensive, or otherwise objectionable.
7. Intellectual Property Rights
7.1 UPNEXT's Intellectual Property
The Service, including its design, text, graphics, logos, icons, images, audio clips, digital downloads, and software, is owned by UPNEXT or its licensors and is protected by copyright, trademark, and other intellectual property laws.
The "UPNEXT" name and logo are trademarks of UPNEXT. All other trademarks, service marks, and trade names are the property of their respective owners.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. You may not:
- Reproduce, distribute, or create derivative works from the Service
- Modify, adapt, or reverse engineer any part of the Service
- Use the Service for any commercial purpose without our express written consent
- Remove any copyright, trademark, or other proprietary notices from the Service
7.3 Copyright Infringement (DMCA)
If you believe that any content on the Service infringes your copyright, please contact us at legal@upnext.community with the following information:
- A description of the copyrighted work you claim has been infringed
- The location of the allegedly infringing content on the Service
- Your contact information
- A statement that you have a good faith belief that the use is not authorized

8. Community Guidelines
To maintain a positive and productive community environment, all members are expected to follow these guidelines:
- Be Respectful: Treat all members with respect, kindness, and professionalism
- Be Supportive: Offer constructive feedback and support to fellow members
- No Spam: Avoid excessive self-promotion or unsolicited commercial messages
- Stay Relevant: Keep discussions focused on LinkedIn growth, personal branding, and community-related topics
- Report Violations: Report any violations of these guidelines to our moderators
- Maintain Confidentiality: Respect the privacy of other members and do not share their information without consent
Violations of these guidelines may result in warnings, temporary suspension, or permanent termination of your account, at our sole discretion.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components
- Warranties regarding the accuracy, reliability, or completeness of any content on the Service
- Warranties that you will achieve specific results, such as increased LinkedIn followers, engagement, or business outcomes
We do not provide professional advice, including legal, financial, or business advice. Any information provided on the Service is for informational purposes only and should not be construed as professional advice.
You use the Service at your own risk. We do not guarantee that the Service will meet your requirements or expectations.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPNEXT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from your use or inability to use the Service
- Damages resulting from interactions between users or third parties
- Damages resulting from third-party services, including LinkedIn
- Any errors or omissions in the Service or content
Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us (if any) in the 12 months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless UPNEXT and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your User Content
- Your conduct in connection with the Service
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.
12. Third-Party Links and Services
Our Service may contain links to third-party websites, services, or resources, including LinkedIn. These links are provided for your convenience only. We do not endorse, control, or assume responsibility for:
- The content, privacy practices, or terms of service of third-party websites
- The accuracy, completeness, or reliability of third-party information
- Any transactions or interactions between you and third parties
You acknowledge and agree that UPNEXT is not responsible or liable for any damage or loss caused by or in connection with your use of any third-party services. You access third-party websites and services at your own risk and should review their terms of service and privacy policies.
13. Termination
13.1 Your Right to Terminate
You may stop using the Service at any time. You may also request that we delete your account and personal information by contacting us at contact@upnext.community.
13.2 Our Right to Terminate
We reserve the right to suspend or terminate your access to the Service, with or without notice, for any reason, including:
- Violation of these Terms or our Community Guidelines
- Fraudulent, abusive, or illegal activity
- Non-payment of fees (if applicable in the future)
- Extended periods of inactivity
- At our sole discretion, for any other reason
13.3 Effect of Termination
Upon termination:
- Your right to access and use the Service will immediately cease
- We may delete or deactivate your account and all associated data
- You will not be entitled to any refunds (if fees were paid)
- Provisions of these Terms that by their nature should survive termination will remain in effect
13.4 Service Discontinuation
We reserve the right to discontinue the Service or any part thereof at any time, with reasonable notice to users. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page with a new "Last Updated" date
- Sending an email notification to registered users (for significant changes)
- Displaying a notice on the Service
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
15.2 Jurisdiction
You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of Ontario, Canada, and you consent to the personal jurisdiction of such courts.
15.3 Informal Resolution
Before initiating any formal legal proceedings, we encourage you to contact us at legal@upnext.community to attempt to resolve any disputes informally. We will make good faith efforts to resolve disputes within 30 days.
15.4 Time Limit for Claims
Any claim or cause of action arising out of or related to these Terms or the Service must be brought within one (1) year after the claim or cause of action arose, or it will be forever barred.
15.5 Class Action Waiver
You agree that any disputes will be resolved on an individual basis and that you will not participate in, or be represented in, any class action, collective action, or representative proceeding.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, it shall be severed from these Terms.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and UPNEXT regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, relating to the subject matter hereof.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
